The terms and conditions governing the professional business and consulting services provided by LV Victoria Warragul Pty Ltd (ABN 73 703 617 118).
Last updated: These terms apply to all clients engaging LV Victoria Warragul Pty Ltd. By requesting a quote, engaging our services, or using this website, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.
1. About Us
LV Victoria Warragul Pty Ltd (ABN 73 703 617 118) is a professional business and consulting services provider based in Melbourne VIC, Australia. Our website is located at https://lvvictoriawarragul.online. All correspondence regarding these terms should be directed to ceo@lvvictoriawarragul.online.
2. Scope of Services
We provide professional business and consulting services, which may include business advisory, strategy development, operational review, planning support and related consulting engagements. The specific scope, deliverables, timelines and fees for each engagement will be set out in a written proposal, engagement letter or quote provided to you before work commences. Services are provided on the basis of that agreed scope only, and any work outside the agreed scope may be subject to additional fees, which will be communicated to you in writing before additional work is undertaken.
3. Quotes and Engagements
Any quote provided by us is valid for the period stated in the quote (or, if no period is stated, for 30 days from the date of issue). A quote does not constitute a binding agreement until it is accepted by you and an engagement is confirmed in writing. We reserve the right to decline any request for services, in whole or in part, at our discretion, including where a conflict of interest exists or where we believe the engagement is not appropriate.
4. Fees and Payment
Fees for our services will be set out in your quote or engagement letter. Unless otherwise agreed in writing, payment terms are as stated on our invoices. Invoices are payable within the timeframe specified on the invoice. If you dispute an invoice, you must notify us in writing within 14 days of receipt so the matter can be reviewed. Late payment may result in the suspension of services and may attract reasonable administrative costs as permitted by law.
5. Client Responsibilities
To enable us to provide our services effectively, you agree to:
- Provide accurate, complete and timely information reasonably required for the engagement;
- Respond to reasonable requests for information or clarification within agreed timeframes;
- Advise us promptly of any changes to your circumstances, objectives or requirements that may affect the engagement;
- Ensure any information you provide to us does not breach any law or third-party rights;
- Comply with all obligations set out in the engagement documentation.
Delays caused by a failure to provide information or responses may affect timelines and, where applicable, may result in additional fees.
6. Professional Advice and Reliance
The advice, reports, recommendations and other deliverables we provide are prepared for your use in accordance with the agreed scope. Our advice is based on the information you provide and the circumstances existing at the time the advice is given. We are not responsible for outcomes arising from incomplete, inaccurate or outdated information provided by you. Our advice does not constitute financial product advice, legal advice, taxation advice or accounting services unless expressly agreed in writing. You should obtain independent specialist advice where appropriate before relying on our recommendations. Our deliverables are for your internal use only and must not be relied upon by, or disclosed to, third parties without our prior written consent.
7. Intellectual Property
All pre-existing intellectual property, including methodologies, frameworks, templates, tools and materials owned by or licensed to LV Victoria Warragul Pty Ltd, remains our property. Upon full payment of applicable fees, you are granted a non-exclusive, non-transferable licence to use the deliverables prepared specifically for you for your own business purposes. You retain ownership of the information and materials you provide to us. You must not resell, publish or commercially exploit our deliverables or materials without our prior written permission.
8. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with an engagement, and to use that information only for the purposes of the engagement. This obligation does not apply to information that is or becomes publicly available through no breach of confidentiality, is required to be disclosed by law or a regulator, or was already lawfully known to the receiving party. Confidentiality obligations continue after an engagement ends.
9. Privacy
We collect and handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using our website or engaging our services, you consent to our collection, use and disclosure of personal information as described in the Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by law, our liability arising out of or in connection with an engagement is limited to the fees paid by you for the relevant service. We are not liable for any indirect, incidental, special, punitive or consequential loss or damage, including loss of profits, revenue, business, goodwill or data, however caused. This clause does not apply to the extent that liability cannot be limited or excluded under applicable law, including under the Australian Consumer Law.
11. Consumer Guarantees
Nothing in these Terms of Service excludes, restricts or modifies any rights you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable legislation. Under the Australian Consumer Law, services must be provided with due care and skill, be fit for the purpose you made them known to us, and be supplied within a reasonable time. Our services come with guarantees that cannot be excluded under the Australian Consumer Law.
12. Suspension and Termination
Either party may terminate an engagement by giving written notice to the other party. Where an engagement is terminated before completion, you agree to pay for all services properly performed and any reasonable costs or commitments incurred up to the date of termination. We may suspend or terminate an engagement immediately if you fail to pay invoices when due, breach these terms, or if continuing the engagement would place us in breach of law or professional standards.
13. Force Majeure
We are not liable for any delay or failure to perform our obligations where the delay or failure is caused by events beyond our reasonable control, including natural disasters, pandemics, government restrictions, industrial action, utility failures, cyber incidents or other events of force majeure. We will notify you as soon as reasonably practicable and will work with you in good faith to agree appropriate arrangements.
14. Third-Party Links and Content
Our website may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse, control or accept responsibility for the content, accuracy or practices of any third-party website. Accessing third-party websites is at your own risk.

We make reasonable efforts to keep website content current and accurate; however, we do not warrant that the website will be available uninterrupted or error-free, or that content is complete or up to date at all times.
16. Governing Law
These Terms of Service and any engagement are governed by the laws of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia in respect of any dispute arising under or in connection with these terms or an engagement.
17. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our business, practices or legal requirements. The current version will always be published on this page. Continued use of our website after updated terms are published constitutes acceptance of the revised terms.
